Terms and conditions
Version of 6 November 2026
These terms apply to every check, every plan and every other use of Vidalo. Vidalo is for businesses only. This is a translation; the Dutch text prevails.
1. Definitions
1.1Vidalo, we, us, our: A101 B.V., established at Factorij 80, 3071 AV Rotterdam, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 42057858, trading as Vidalo.
1.2You, your: the business or legal entity that requests a check, takes a plan or otherwise uses Vidalo, and the person acting on behalf of that business.
1.3Service: everything Vidalo provides to you: the free check, the plans and what comes with them, your account and the assistant on our website.
1.4Free check: a one-off check, without payment, of what AI assistants answer about a business, with a report that can be viewed through a link for 30 days.
1.5Plan: ‘Vidalo Scan’ (one-off) or ‘Vidalo Monthly’ (a monthly subscription), as described at vidalo.ai/en/pricing at the time you order.
1.6AI assistant: a service of another party that answers questions using artificial intelligence, such as ChatGPT, Google AI, Gemini or Perplexity.
1.7Source: a website, directory, profile or other public record from which an AI assistant takes its answer.
1.8Details: the details of your business that you confirm to us, such as name, address, opening hours, phone number, services and prices.
1.9Facts page: the page we publish with your confirmed Details, in a form that people and AI assistants can read.
1.10Account: your own area on vidalo.ai, which you sign in to with a link sent by email.
1.11Agreement: the arrangements between you and Vidalo about the Service, including these terms.
1.12In writing: on paper or by email.
2. When these terms apply
2.1These terms apply to every offer from Vidalo, every Agreement and every use of the Service, including the free check.
2.2Vidalo is for businesses only. You use the Service in the course of your trade or profession, and at checkout you confirm that you are acting on behalf of a business. Consumer rules, such as the right of withdrawal, therefore do not apply.
2.3Your purchasing conditions or other terms do not apply.
2.4Deviations from these terms are valid only if we agree them with each other in writing.
2.5Our offers are without obligation. An obvious mistake or typing error in an offer, on the website or in an email does not bind us.
2.6If a provision is invalid or annulled, the other provisions remain in force. We will then agree a replacement provision that comes as close as possible to the purpose of the old one.
2.7We may change these terms. We will tell you about a change at least thirty days before it takes effect, by email and on this page, unless a law, a ruling or an authority requires a shorter period. If you do not agree with a change to your disadvantage, you can cancel your subscription with effect from the day the change takes effect.
2.8These terms exist in Dutch and English. If the two differ, the Dutch text prevails.
3. What Vidalo does
3.1With the free check we ask AI assistants questions that a customer might ask about your business. We compare the answers with the details we find about your business or that you confirm, and show which answers are wrong and which source an error seems to come from.
3.2Which parts belong to a Plan is stated on the pricing page at the time you order. A part that depends on another party, such as updating your Google Business Profile, is provided only if that party allows it.
3.3We choose which AI assistants we ask, which questions we ask and how often. Every report states which AI assistants we asked.
3.4We do our work carefully and with expertise. Our obligation is one of best efforts: we do what can reasonably be done, but we do not promise a particular result.
3.5We may change and improve the Service, as long as the core of what you took remains. If something essential disappears from your Plan, we will tell you in advance and you can cancel with effect from the day of the change.
3.6We may use other parties, such as hosting, payment, email and AI services. Which of them process personal data is stated in our privacy policy.
3.7The Service may be temporarily unavailable for maintenance or because of a fault. We announce noticeable maintenance in advance where we can.
3.8We build a website only under a separate arrangement about what we make and what it costs. These terms apply to that as well.
4. What we do not promise
4.1Nobody decides what an AI assistant answers, and neither do we. We fix the sources those answers come from, or show you how to do it. What an AI assistant answers afterwards is decided by that assistant.
4.2AI assistants do not always give the same answer to the same question. A report shows what they answered at the time of the check; next time it may be different.
4.3Answers an AI assistant takes from its model's memory change only with a new model version. We have no influence on that.
4.4A fix at another website, directory or platform depends on that party. It usually takes a few weeks and sometimes it does not succeed. On many large platforms only the owner can change anything; we then show you what to do.
4.5We do not promise that an AI assistant will name your business, recommend it or put it in a particular position.
4.6We judge whether an answer is right with the help of automatic comparison. We do this carefully, but it can occasionally be wrong. If you see something that is not right, tell us and we will check it.
4.7A report is information, not advice. What you do with it is your decision.
5. Your details and proof of management
5.1You confirm the Details of your business yourself. You warrant that they are correct, that you may have them published, and that you will tell us when something changes.
5.2We publish and send only Details you have confirmed. Every change becomes a new version, which you confirm.
5.3Before we record your Details, publish them or ask others for something on behalf of your business, we ask you to show that you manage the business: with Google or with a code via the business's phone number. Your Account shows how. We may change those methods, for example when another party changes its rules. If the proof does not succeed, those parts do not start.
5.4An email address alone does not prove that you manage a business. Until there is proof, you can use the free check and your reports, but your Details are not published.
5.5You allow us to send correction requests on behalf of your business to sources containing an error, and to update your Google Business Profile or another profile if you connect it to your Account. We use only Details you have confirmed. You withdraw that permission by disconnecting the profile or emailing us.
5.6You remain responsible for your own website, your profiles with other parties and your arrangements with those parties.
5.7A free check of another business is allowed. You then do not use the report to mislead or harm that business or others.
6. Your account and fair use
6.1You sign in with a link we send to your email address. Keep access to that address to yourself and tell us straight away if someone else seems to have access to your Account.
6.2You are responsible for what happens through your Account, including when an employee acts on behalf of your business.
6.3You may not:
- use the Service in breach of the law or of the rights of others;
- request checks automatically or in large numbers, or get around our security or limits;
- copy, take apart or rebuild the software behind Vidalo, or use the Service to make a competing service;
- resell the Service or your Account or make them available to others; sharing your own reports is allowed;
- have incorrect or misleading Details published.
6.4We may check whether you comply with these terms. If you do not, we may block your Account or part of the Service. We will tell you in advance, unless immediate action is needed, for example in case of fraud, abuse or a security risk.
7. Facts page, published content and notices
7.1The Facts page shows only Details you have confirmed, with the date you confirmed them. The page is on your own domain or at another address we show you.
7.2We store and publish that content for you. Content that is unlawful or breaches these terms, such as incorrect details about another business or an infringement of the rights of others, we may refuse, adjust or take offline. We do so carefully and in proportion to the problem.
7.3Anyone can report content they consider unlawful, at support@vidalo.io. Include in the notice:
- why you consider the content unlawful;
- the exact web address of the content;
- your name and email address, except for a notice about child sexual abuse;
- that you make the notice in good faith and that the information in it is accurate and complete.
7.4We confirm that we received a notice, assess it carefully and tell the person who made it what we decide. We do not use automated decision-making for this.
7.5If we remove content of yours or restrict your Account, we tell you what we did, why, on the basis of which rule and how to object. You object at support@vidalo.io; a person reviews it.
7.6support@vidalo.io is also our point of contact for authorities and users under the Digital Services Act (DSA). You can reach us there in Dutch and English.
7.7When your Plan ends, the Facts page redirects to your own website. If you delete your data, the page disappears.
8. Prices and payment
8.1Vidalo Scan costs €149 once. Vidalo Monthly costs €49 per month. All prices are in euros, excluding 21% VAT and other government charges. The free check costs nothing.
8.2You pay in advance through our payment service Stripe, by iDEAL, card or SEPA Direct Debit. Vidalo Monthly is charged automatically every month. You receive an invoice for each payment.
8.3A paid part starts only once your payment has arrived. With SEPA Direct Debit that can take a few working days.
8.4If a payment fails, Stripe tries again a few times and you are notified. If it still fails, we may suspend the subscription until it is paid. If a payment is still outstanding after sixty days, we may end the subscription.
8.5If you do not pay on time, you are in default without a reminder and we may charge the statutory commercial interest and the reasonable costs of collection.
8.6We may change our prices. We will tell you about a new price for a running subscription at least thirty days in advance. If you do not agree, you can cancel before the new price takes effect.
8.7You may not set off an amount you owe us against an amount you say we owe you, and you may not suspend your payment.
9. Term, cancelling and pausing
9.1Vidalo Scan is a one-off assignment. Vidalo Monthly is a monthly subscription that renews every month until you cancel.
9.2You can cancel Vidalo Monthly whenever you want, online under ‘Subscription’ in your Account. There is no notice period: the month you already paid for runs out, after which you pay nothing more. You immediately receive a confirmation by email with the end date. Until that date you can withdraw the cancellation.
9.3When you cancel, the amount for the current month is not refunded: the Service continues until the end date. The amount for Vidalo Scan is not refunded once we have started on it.
9.4If within thirty days of your payment we cannot start Vidalo Scan because the proof of management in article 5 does not succeed, you may terminate the Agreement. We then refund what you paid for the Plan.
9.5You can pause Vidalo Monthly for 1, 2 or 3 months under ‘Subscription’. During that time we do not check or fix anything and you pay nothing; your Facts page stays online. You receive a confirmation by email and a reminder a week before the end. On the end date the subscription continues automatically at the regular price. You can resume earlier or cancel during the pause. You cannot pause while a payment is outstanding.
9.6When your subscription ends, we stop checking and fixing, and your Facts page redirects to your own website. What has already been fixed at other parties stays there. What we do with your data afterwards is stated in our privacy policy.
9.7You can also cancel by email to support@vidalo.io. You then receive the same confirmation.
10. Suspension and termination by Vidalo
10.1We may suspend the Service in whole or in part if:
- you do not pay on time;
- you breach these terms, in particular article 6 or 7;
- there is a security risk;
- a law or an authority requires it.
10.2We will tell you in writing as soon as possible.
10.3We may terminate the Agreement without court intervention if:
- you fail to perform an essential obligation and do not remedy it within fourteen days after we gave you written notice of default;
- you are declared bankrupt or granted a suspension of payments, or otherwise lose control of your assets;
- your business stops or is liquidated.
10.4What we delivered and invoiced before the termination remains payable.
10.5If we stop Vidalo as a whole, we will tell you at least two months in advance and refund what you paid in advance for the time after that.
11. Intellectual property
11.1The software, the design of the reports, the questions, the texts and the Vidalo brand belong to us or our licensors. For as long as the Agreement runs, you receive a non-exclusive, non-transferable right to use the Service under these terms.
11.2You may use, keep, print and share your reports for your own business, also after the Agreement ends.
11.3For as long as the Agreement runs, you give us the right to use, publish and send to sources the Details, your business name and your logo, to the extent the Service requires.
11.4We may derive general figures from checks, for example how often AI assistants get a certain kind of question wrong, to improve the Service and to publish about it. Such figures cannot be traced back to you or your business.
11.5We indemnify you against claims by others that the Vidalo software infringes their intellectual property in the European Union, provided you inform us in writing straight away and leave the handling, including any settlement, to us. This does not apply if the infringement results from a change or from use in breach of these terms, nor to answers of AI assistants that we show in a report: those belong to the party that gives them.
12. The assistant on our website
12.1On vidalo.ai you can ask questions to an assistant. That assistant is an AI system, not a person; the chat window says so too.
12.2The assistant answers only questions about Vidalo, using information from our own website. An answer may be incomplete or wrong and does not bind us. What these terms, the pricing page and your confirmation say prevails.
12.3The assistant gives no legal, tax or other personal advice. Do not type personal data or confidential information into the chat window. If you want to talk to a person, email support@vidalo.io.
13. Personal data
13.1To the extent we process personal data in providing the Service, we do so as an independent controller within the meaning of the General Data Protection Regulation (GDPR), in accordance with our privacy policy at vidalo.ai/en/privacy.
13.2If you confirm Details that contain personal data, such as the name or phone number of an employee, you make sure you may share them and have them published.
13.3We protect personal data with appropriate technical and organisational measures. We expect the same of you.
14. Confidentiality
14.1We keep secret the confidential information we receive from each other under the Agreement. Confidential means information marked as such, or that you can reasonably understand to be confidential.
14.2This does not apply to information:
- that is made public with the other party's permission;
- that is already generally known;
- that must be disclosed under the law or by order of a court or regulator; the recipient then tells the other party in advance, where permitted;
- that was lawfully obtained from a third party without a duty of confidentiality.
14.3You use confidential information only for the purpose for which it was given.
15. Liability
15.1Our total liability, on whatever ground, is limited to compensation of direct damage, up to at most the amount (excluding VAT) you paid us for the Service in the twelve months before the damage arose.
15.2We are not liable for indirect damage. This includes in any case: consequential damage, lost profit or revenue, missed savings, reduced goodwill, damage from business interruption, damage from claims or fines of others, and loss or corruption of data.
15.3We are not liable for what AI assistants, search engines, directories or other parties say or do about your business, for decisions you base on a report, or for damage because Details you confirmed were wrong.
15.4We are not liable for the free check and the assistant on our website, which cost nothing.
15.5Liability arises only if you give us written notice of default straight away, with a reasonable period to remedy the failure, and we still fail after that. Describe the failure as precisely as possible so we can respond properly.
15.6A claim for damages lapses if you have not held us liable in writing within twelve months after you discovered the damage, or could reasonably have discovered it.
15.7The limitations in this article do not apply in case of intent or deliberate recklessness of Vidalo or its management.
15.8You indemnify us against claims and fines of others resulting from Details you had published, or from use of the Service in breach of the law or these terms.
16. Force majeure
16.1We are not liable if we cannot perform our obligations because of force majeure: a circumstance beyond our control, such as a fault or change at an AI assistant or at a hosting, payment or email service, a change in their terms or access, an internet or power outage, a cyberattack, a government measure, a natural disaster or a pandemic.
16.2In case of force majeure we suspend our obligations for as long as it lasts. If it lasts longer than sixty days, either of us may terminate the Agreement. We refund what you paid in advance for the time after the termination.
17. Other provisions
17.1You do not transfer your rights and obligations under the Agreement without our written permission.
17.2We may transfer our rights and obligations under the Agreement to another business that continues the Service. We will tell you in advance; you can then cancel with effect from the day of the transfer.
17.3We communicate with you through the email address of your Account. An email to that address counts as in writing.
18. Governing law and disputes
18.1The Agreement and these terms are governed exclusively by Dutch law. The Vienna Sales Convention (CISG) does not apply.
18.2If we cannot resolve a dispute together, the competent court of the District Court of Rotterdam decides.
